I. How it came about

The "Slouch In The Couch" was happened upon, quite accidentally in April 1993. I Stephen J. Hemenway), had run for Chino Hills City Council in 1991, unsuccessfully. It was my intention of running in the next election, so I decided to become more active in the community. I began writing controversial articles for the local magazine, "The Chino Hills 91709", in an effort to gain name notoriety. Also, since I write and produce music, I decided in early 1992 (a few month's after the election), to produce a community Christmas Album, entitled, "A Chino Hills Christmas". This album gained attention in several of the area newspapers, and was performed by adults and children, from the Chino Hills Community. After the release of this album, (November 1992) I was approached by several persons that worked on the project. They were impressed as to how well I worked with the children, during the recording sessions. It was suggested that I stop writing the controversial articles for the "91709", and begin writing children's stories. Having never written a children's story in my life, I laughed it off, and basically paid no attention to the suggestion. The push for me to write children's stories continued, until finally, in early March 1993, I decided to give it a try. The magazine agreed to give me my own column which I named, "The Children's Corner." In April, 1993, "I'll Hold My Breath, Til I'm Blue", was published. I put a moral into this story, and wrote it in rhyme, as I was so used to writing lyrics for music. People loved it. Using the same formula, I decided to put a little fantasy into my next story. I named it, "The Slouch In The Couch" (May 1993). Henceforth, "The Slouch In The Couch" was born.

II. The "Slouch In the Couch Uncut"

The "Slouch In The Couch" stories have not only spawned interest within parents and children, but have created an interest with teachers as well. This has led to a production entitled, "The Slouch In The Couch Uncut." This is a hour educational childrens' program, which is presented in a "variety show" type format. This is a program produced for children, acted by children, for the entertainment of children and includes the characters from the World of the Magical Couch. The program highlights "Education Through Entertainment", through the use of various talent, supplied by children. The "educational" concept is also provided by Auntie Carol (the Science Lady), Mr. Jelloptomous (the Storyteller), Mr. Buzzelli (the Alphabet Man) and Melvin the Great (the naturalist magician).

III. Investment Opportunites

SITCEP (The Slouch In The Couch Educational Productions), which is a division of "The Slouch & Friends, Inc." is offering various investment opportunities in our individual productions. The following productions are either pending or currently open for investment:

1) The Childrens Books: The original "Slouch In The Couch" story (hardcover, fully illustrated in color, book) was published in January 1998, with the official publishing date of May 13th, 1998. The Publisher was: Dorrance Publishing Company, PA. This investment is currently closed. Investors in this book are profit sharing in the books royalty checks. For 1% of gross royalties received, the investment is $400 per 1%. (ie: 2% =$800, 3%=$1200, etc..) This is a ten year investment, beginning with the first royalty check you receive. It includes ANY publisher during the ten year period, and is transferrable, if you should want to sell it to another invester during the ten year period. Future investments in book sequels will become available as production of these sequels begin.

2) "Never Jump On A Grump" is the second book in the "Slouch In The Couch" series: This book as well as the first book are both published and available through the Xlibris Corporation. The second book introduces several new "Slouch In The Couch" characters. Anybody can invest in this second book. This investment is the same as the first book (see above). The required fee is $400 per each Percent (1%) of the books gross royalty check. This is paid on a quarterly basis, based on royalties received from book sales. This book investment is for ten years beginning with the first royalty check received. Both of these books can be purchased online at: www.xlibris.com.

3) The Slouch In The Couch Childrens' Corner Band (debut album): This is the bands debut album, which was released on cassette tapes in 1998. Containing 13 original songs, the band currently performs at numerous functions throughout the year and will be featured on "The Childrens' Corner" television program. This is a profit sharing investment and is currently open. Investments are $500 per 1% of gross monies received from sales. As in all "Slouch" investments, payments are calculated twice a year or six month increments. The dates are January 31st and July 31st each year. This is a ten year investment, beginning with your first royalty check.

4) The Slouch & Friends, Inc. : We will be offering stock in the future at a pre-determined value of $5.00 per share. Inquiries are welcome.
